Millennium International Ltd. General Business Terms and Conditions Applicability and binding effect The following business terms and conditions apply between the principal and Millennium International Ltd. Modifications of these conditions will not be accepted. Millennium International Ltd is headquartered in 69 Great Hampton Street, B186EW. DE251064869 Dr. Hans Kamm, Managing Director Basic Contract Conditions – Charter and Fractional Ownership Unless otherwise specifically agreed to, Millennium International (hereinafter referred to as MI) is a broker for yacht charter and fractional ownership contracts between those offering the charter and fractional ownership and third parties. Only written contracts are valid for yacht charters and fractional ownership. MI acts solely as an agent or broker whose duty is the proper mediation of charter and fractional ownership offers. Goods or services offered by MI in the internet are not not binding. Compensation and Expense Reimbursement By agreement with the principal, MI charges an all inclusive fee for providing those services as stipulated in a contract. These fees are either based on time expended or are an agreed to percent of the monetary value of the completed transaction. If no fee is agreed to, the customary fees charges for that type of service shall apply. Regardless of the compensation agreed to, MI has a right to charge the principal for expenses incurred by MI in carrying out its duties under the contract (670 BGB) Under an ongoing contractual relationship with a principal which requires MI to pay out funds on a regular basis, MI has the right to ask for advance payments from the principal in accordance with §315 BGB. If the principal refuses to make any advance payments, MI has the right to refuse to provide additional services and reserves the right to terminate the contract. Any remedies MI may have against the principal remain unaffected. Basic Contract Provisions - Goods and other Services A contract takes place with a declaration of intention to purchase by the client. Notification of acceptance by MI is not necessary. The client waives such according to § 151 of the BGB. Delivery Delivery takes place upon issuance of an invoice and in accordance with set delivery fees. Period of payment will be 20 days net. Should the amount invoiced exceed € 100, MI reserves the right to collect 50% of the total amount due before delivery will take place. The client will be informed of such in writing. To avoid fictitious or bogus transactions, MI retains the right to refuse orders or contracts without giving a reason. Costs and risk of delivery of items ordered shall pass to the contracting parties upon shipment. MI has no obligation to insure the items shipped, but may do so at the request of the purchaser. The purchase is responsible for the insurance premium. Ownership stays with the sender until full payment of the purchase price has been received. Warranty MI warrants articles sold for no longer than one year, in accordance with §309 Nr. 8 b ff BGB. Expense reimbursement If the principal cancels the contract without cause or in accordance with provisions contained in §649 BGB, has MI the right to demand a flat rate payment of 15% of the compensation agreed to in the contract. The principal may claim that MI has suffered no or fewer damages. MI may, at its option, claim that it has suffered damages in excess of the flat rate payment. Place of legal jurisdiction Place of jurisdiction for contracts with MI will be Ansbach, Germany. Language of jurisdiction will be only German.
